Sales Clipboard CRM - Terms of Service
SALES CLIPBOARD CRM, A customer relationship management database service is provided to you or the entity that you represent (You or Your hereafter) by Sales Clipboard CRM, a privately owned entity.
Use of Sales Clipboard CRM signifies Your acceptance of the terms & conditions set forth below. If You do not accept these terms, do not proceed or use the CRM in any manner.
Users of Sales Clipboard CRM system
While You may be representing Yourself, or a company/organization, You must be a human. Accounts registered by “bots” or other automated methods are not permitted and those accounts will be removed promptly.
You must provide Your legal full name, a valid email address, and any other information requested in order to complete the signup process.
You are responsible for maintaining the security of Your account and password. Sales Clipboard CRM cannot and will not be liable for any loss or damage from Your failure to comply with this security obligation.
Content
You are responsible for all Content posted and activity that occurs within Your account, even when Content is posted by others who have access to Your account. Your Service may cause the loss of Content, features, or capacity of Your Account. Sales Clipboard CRM does not accept any liability for such loss.
Sales Clipboard CRM maintains the right to determine what is considered improper content for its service. Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service will not be allowed, and will result in termination of service.
You must not upload, post, host, or transmit unsolicited email, SMSs, or “spam” messages.
You must not transmit any worms or viruses or any code of a destructive nature.
You understand that the technical processing and transmission of the service, including Your content, may be transferred over various networks; and may involve changes to conform and adapt to technical requirements of connecting networks or devices.
While Sales Clipboard CRM prohibits misuse and improper content on the Service, You understand and agree that Sales Clipboard cannot be held responsible for the content posted on the CRM Service and You nonetheless may be exposed to such materials. You agree to use the Service at Your own risk.
Email Policy
We advocate genuine use of email. If Your email bounce rate exceeds a permissible range, Your account will be prevented from sending further emails. Use of the CRM for spamming will not be allowed.
We are responsible to keep our system free from illegal activities. To ensure better deliverability for our customers and to maintain our reputation, emails sent via Sales Clipboard CRM will be monitored using automated tools. In case of violation of our terms, we may block emails from Your account or even terminate Your service.
Usage Limits for Sales Clipboard CRM
Sales Clipboard may prescribe usage limits based on the subscription plan chosen by You. You must make sure that Your usage is within the usage limits prescribed by Sales Clipboard in order to avail uninterrupted service. You understand that Sales Clipboard may restrict an activity if You reach the usage limit corresponding to such activity.
Use of Sales Clipboard CRM Application
Integration of Sales Clipboard CRM with Third Party Applications using Sales Clipboard requires technical skill. You understand that errors or defects in the integration may cause loss and corruption of data. You must make sure that You use the services of technically skilled persons for the integration. You agree that Sales Clipboard is not liable for any loss and corruption of data caused due to errors or defects in the integration.
You must not try to access any functionality that is not exposed in the documentation for the CRM application. You understand and agree that Sales Clipboard will not be liable for the consequences of accessing or using any unexposed functionality of the CRM program.
Free trial
Sales Clipboard, in its discretion, may cease providing the current version of the application either as a result of discontinuation of the application or upgradeof the application to a newer version. In both cases, the current version of the application will stand deprecated and become the trial version of the application (hereinafter “Trial version”). When Sales Clipboard decides to deprecate the current version of the application, You will be informed about such deprecation through a service announcement. For a period of six months following announcement of deprecation (hereinafter the “Deprecation Period”), Sales Clipboard will use commercially reasonable efforts to support the Trial version. You understand that Sales Clipboard is not obliged to provide all features of the updated version in the free trial Version.
Payment
The payment plan is a pre-payment a month in advance for the Sales Clipboard service. Users are charged their Current Subscription Price and can cancel at any time. Customers may opt to pay on a yearly basis for convenience. Refunds for yearly plans will be prorated based on the amount of time elapsed before notification of cancellation
Application Usage Limits
Sales Clipboard may prescribe usage limits, including limits on the number of calls, number of records per call, bandwidth usage and frequency of calls based on the plan You have chosen as well as what could be considered excessive. You are required to adhere to the usage limits prescribed by Sales Clipboard in order to avail uninterrupted service. You understand that Sales Clipboard may restrict an activity if You reach the usage limit corresponding to such activity and that an application call may either fail or be partially executed if the usage limits are reached before or during an application call.
Liabilities
All efforts have been made to assure that Sales Clipboard CRM will meet the business needs claimed on our website. Sales Clipboard CRM does not warrant that the service will meet Your specific requirements, the service will be uninterrupted, timely, secure, or error-free, the results that may be obtained from the use of the service will be accurate or reliable or that the service will meet Your specific expectations. If You find it does not meet Your needs, You will be offered a refund.
You expressly understand and agree that Sales Clipboard CRM shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from: use of the system. This includes messages received or transactions entered into through or from the service, unauthorized access to or alteration of Your transmissions or data; or any other matter relating to the service.
The foregoing limitation will regardless of the theory of liability, but will not limit Your and Your affiliates’ payment obligations to method for products and services provided.
You will defend and indemnify Sales Clipboard CRM against any claim, demand, suit or proceeding made or brought against Sales Clipboard by a third party alleging that any of Your Data infringes or misappropriates such third party’s intellectual property rights, or arising from Your use of the Services or Content in violation of the Terms of Service. You will indemnify Sales Clipboard CRM from any damages, attorney fees and costs finally awarded against Sales Clipboard CRM as a result of, or for any amounts paid by Sales Clipboard. Sales Clipboard will promptly give to You written notice of the Claim Against Us, (b) give You sole control of the defense and settlement of the Claim Against Us (except that You may not settle any Claim Against Us unless it unconditionally releases Us of all liability), and (c) give You all reasonable assistance, at Your expense.
Modification of Terms of Use
Sales Clipboard reserves the right, at its discretion, to modify Sales Clipboard CRM Terms of Use. Modifications to the Terms of Use are effective upon upon the date of publication of modified terms.
Suspension and Termination
We may suspend Your user account or temporarily disable access to whole or part of any Service in the event of any suspected illegal activity, extended periods of inactivity or requests by law enforcement or other government agencies. Objections to suspension or disabling of user accounts should be made to
support@salesclipboard.com within thirty days of being notified about the suspension. We may terminate a suspended or disabled user account after thirty days. We will also terminate Your user account on Your request.
Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Method Integration Inc. customer, employee, member, or officer will result in immediate account termination.
In addition, we reserve the right to terminate Your user account and deny the Services upon reasonable belief that You have violated the Terms and to terminate Your access to any Sales Clipboard service. You have the right to terminate Your user account if Sales Clipboard breaches its obligations under these Terms and in such event, You will be entitled to prorated refund of any prepaid fees. Termination of user account will include denial of access to all Services, deletion of information in Your user account such as Your email address and password and deletion of all data in Your user account.
